Inspira Global completes Restaurant Brands Asia acquisition
The transaction gives the firm a 41.78% stake with room to increase its holding.
Inspira Global has completed its acquisition of Restaurant Brands Asia Limited (RBA), the operator of Burger King India, and Burger King and Popeyes in Indonesia.
The transaction has been completed following the successful conclusion of the mandatory open offer, receipt of the requisite regulatory approvals and fulfilment of customary closing conditions, in accordance with applicable regulations.
The deal was valued at approximately $230m (INR2.23b). Inspira Global will hold a 41.78% stake in the company following its completion.
Upon exercise of all warrants, Inspira Global’s stake in the company would rise to 48.04%, with a further $47m (INR4.50b) injected into the business. The board has also appointed Madhusudan Agrawal as chairman and Aayush Agrawal as non-executive director.
RBA will continue operating Burger King and Popeyes under its existing master franchise agreements with Restaurant Brands International once the transaction closes.
The company recently secured extensions on its Burger King agreements in India and Indonesia through 2050, locking in long-term operating rights in both markets.
